Company Dissolution

If you have a dormant company and wish to close it simply and cost-effectively, then the process for this is dissolving a limited company, or dissolution.

This process removes a company from the Companies House Register; however, there are strict conditions that need to be met.

For more information contact us.

Providing the conditions are met, a company can be closed without the need to incur liquidation costs and with little publicity.

So, what conditions need to be met to do a Company Dissolution?

  • The company has not traded for 3 months – this must be a genuine cessation of trade
  • The company has no assets, property or cash in the bank
  • Any Creditors of the company are communicated to and advised of the Dissolution, and they are given 3 months to consider this request
  • The company has not changed its name within the 3-month period
  • The company has not “sold off” any property or assets.

If you think a Company Dissolution could be the right procedure for your company, please contact us – we can manage the whole process for you, ensuring it is done correctly, at a fair price.
